Corporate Lawyer (Construction)

Executive recruitment company Monroe Consulting Group Philippines is recruiting on behalf of multi-billion, fast-growing, diversified group of companies engaged in construction, manufacturing, real estate, land development, water utility industry. Our respected client is seeking for highly motivated and results-oriented corporate lawyer with minimum of 5 years of experience advising clients on a wide range of legal matters for the position of Corporate Lawyer.

Job Summary:

  • A Corporate Lawyer advise on securities law compliance, including equity offerings, debt offerings, and other securities transactions. Assist with the preparation of SEC filings, as required.

Key job responsibilities include:

Litigation Support:

  • Conduct legal research and analysis in support of litigation matters
  • Assist in the preparation of legal briefs and other court filings
  • Manage and track litigation deadlines and court dates

Legal Research & Analysis:

  • Conduct in-depth legal research and analysis on a variety of legal issues relevant to the company's business
  • Stay abreast of legal and regulatory developments that may impact the company

Corporate Governance:

  • Advise on and draft board resolutions, shareholder agreements, and other corporate governance documents
  • Assist with the preparation and filing of necessary corporate filings (e.g., annual reports, amendments).
  • Ensure compliance with applicable corporate laws and regulations

Mergers & Acquisitions (M&A):

  • Conduct due diligence investigations for M&A transactions.
  • Draft and negotiate transaction documents, including merger agreements, purchase agreements, and stock purchase agreements.
  • Provide legal support throughout the M&A process, from initial negotiations to closing

Contract Law:

  • Draft, review, and negotiate a variety of commercial contracts, including vendor agreements, service agreements, and licensing agreements.
  • Advise on contract interpretation and enforcement issues.

Job Requirements:

  • JS Doctor (J.D.) degree from an accredited law school.
  • Min of 5 years of relevant experience as a corporate lawyer at a law firm or in-house legal department.
  • Strong understanding of corporate law principles, including but not limited to:
  • Contract law, Securities law, Mergers and acquisitions, corporate governance & Business organizations
  • Excellent legal research, writing, and analytical skills
  • Strong communication and interpersonal skills, with the ability to effectively communicate complex legal issues to both legal and non-legal audiences
  • Ability to work independently and as part of a team
  • Strong organizational and time-management skills with the ability to 1 manage multiple projects and deadlines effectively
